Seeder & Ash Capital (SAC) Advisory is the specialist corporate finance & advisory business in the Group with a dedicated focus on the high growth private markets in Nigeria. Our corporate finance team advises on private middle market transactions with access to a range of different capital providers and investor types.

The team draws from multi-disciplinary professional experience including corporate finance, merchant banking, private equity, venture capital, agribusiness, energy, infrastructure, logistics, healthcare, consulting, advisory and personal investing.

SAC Advisory approaches its services by taking the time to gain a deep understanding of our clients’ objectives. Typically, capital raising is achieved through either a discreet mandate approach or a broad market sweep to targeted funders and investors who participate in syndications, co-investment or club deals.

SCOPE OF WORK
Corporate Lending

Our corporate lending business assist and provide the financing SMEs need to expand and develop their business. We offer long and short-term loans, overdrafts and revolving credit facilities designed to meet the specific funding requirements of businesses. We arrange and underwrite our own transactions and participate in transactions led by other institutions. We facilitate the structuring, execution and management of working capital, growth capital and event-driven financing.

Our approach is driven entirely by our sector knowledge, so we can provide the optimal solutions in the context of business requirements. This put us in a very distinctive position to provide our clients with in-depth knowledge, market insight and unique ideas. Based on additional expertise of other services, we can provide you with a full-service financing solution.

Debt Capital Market (Private)

Our Private Debt Capital Markets offers SMEs solutions to raise funds, especially long-term funds. We can arrange funding through private debt issuance, syndicated loans and private placements. We advise businesses and ensure that your company’s debt is offered to qualified investors in the right format, at the right time and at the right price. Not only do we develop and structure unique products, but we also provide you with access to our investor distribution channels.

Thanks to our strong track record and sector focus, our clients and other lenders see us as a key partner in syndications. Our specialists are highly experienced in the structuring and placement of various bond solutions. We originate and execute domestic private placements for our clients in a variety of categories, from vanilla senior unsecured to structured project financing and credit tenant lease notes. With our hybrid capital structuring and liability management, we offer our clients a wide range of balance sheet management and financing options.

Trade Finance

Our Trade Finance unit provides flexible, secured, structured trade finance solutions. Our model is transaction, rather than balance sheet driven, and our aim is to follow the cash methodically. Our major value-add is that we substantially enhance our clients’ working capital profile, enabling them to scale, whilst in full collaboration with investor’s relationships and without impeding on the risk framework of our investors.

We assess each opportunity carefully and structure the funding to match the transaction timeline, profitability and perceived risk profile. Our product offerings are;

  • Off-balance sheet stand-alone transactional facilities.
  • Back-to-back trade facilities’
  • Co-financing and/ or participating with other institutions.
  • Trade receivable discounting.
  • Factoring.
  • Supplier cash payments

Basic Criteria & Features

  • The funding facility is transaction focused.
  • The funding facility is a short-term position of 30-365 days.
  • The funding facility position is self-liquidating.
  • Goods flow from non-sanctioned countries.
  • Gross Profit Margin of the goods sold exceeds 10%.
  • Client can afford the facility fee for the duration of the loan.
  • Client uses the facility to execute purchases & sales and not for general.
  • Client has the ability to participate in the transaction.
Asset Finance

Our asset finance and leasing solutions complement our existing trade finance, renewable energy and corporate finance advisory businesses, thus broadening our bespoke investment banking solution to the high-growth private markets in Nigeria.

The operational asset finance solutions provide our clients with the flexibility to manage working capital in a fast-paced business environment. We focus on the local enforceability of the contracts and the sustainability and viability of the business being financed.

Funding Structure – We extend funding on the following basis:

  • Equipment lease structured on a straight-line basis, typically over 24 – 60 months.
  • Off-balance sheet rental with no deposit.
  • Asset Finance in form of equity, convertible debt or plain vanilla debt.

Clients have a choice of two leasing structures:

OPTION 1: Operating Lease

  • No deposit – 100% rental finance.
  • Off-balance sheet, improving gearing levels.
  • Full rental is a tax-deductible expense.
  • Preserve working capital.

OPTION 2: Sale and Leaseback

  • Restructure your balance sheet.
  • Raise working capital that can be invested into stock and generate a higher return.
  • Improve gearing levels.
  • Take advantage of future tax benefits.

  • Procurement partner. Our clients see us as their procurement partner – we buy the assets they need, and they rent them from us. We do not impede on the clients’ existing relationships with other lenders.
  • Off-balance sheet lending. The rental charge is treated as an operating expense. Since our finance solution does not increase the gearing of the business, current banking facilities are left unaffected.
  • Tax Benefits. In most cases, wear and tear allowances in Africa are spread over longer periods than the actual useful life of the asset. Our rental solution allows clients to match the tax deduction with the actual life cycle of the asset.
  • Flexible repayment terms. We allow our clients to determine the funding period, up to a maximum of 60 months.
